Kinglify Terms of Service

0. Acceptance Mechanism

These Terms take effect for an Organisation when an authorized representative clicks “I Agree” during account sign-up. This constitutes a legally binding acceptance (clickwrap agreement). Kinglify retains a timestamped record of each acceptance, including the account email and IP address, for evidentiary purposes.

1. Acceptance of Terms

By creating an account or using Kinglify (“the Platform”), you (“Organisation,” “you”) agree to these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

Kinglify is a white-label, multi-tenant software-as-a-service platform enabling churches, ministries, schools, and NGOs to manage their communities, including member databases and related tools, delivered under your own branding.

3. Accounts

• You must provide accurate information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You must be authorized to act on behalf of the Organisation you register.

4. Subscription Plans & Payment

• Kinglify offers tiered subscription plans (Bronze, Silver, Gold, Diamond, Enterprise), each with its own implementation fee, annual licence fee, and monthly platform fee, as published on our pricing page or agreed in a separate order form.
• Fees are billed in advance and are non-refundable except as required by law or as otherwise stated in a signed agreement with you.
• We reserve the right to change pricing for future billing periods with reasonable notice.
• Failure to pay may result in suspension or termination of access.

5. Your Data

• You retain ownership of all data you or your members enter into the Platform (“Organisation Data”).
• You are solely responsible for ensuring you have the legal right to collect and enter your members’ data into the Platform, including obtaining any required consents (e.g., for children’s data).
• You grant Kinglify a limited licence to process Organisation Data solely to provide the Platform to you, as further described in our Data Processing Agreement.
• Upon termination, you may export your Organisation Data for a period of [30] days, after which it will be permanently deleted.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to access another Organisation’s data
• Reverse-engineer, resell, or white-label the underlying platform to third parties beyond your own Organisation’s use
• Upload malicious code or attempt to disrupt the Platform’s operation
• Use the Platform to harass, defraud, or harm others

7. Intellectual Property

• Kinglify retains all rights, title, and interest in the Platform itself — its code, design, and underlying architecture.
• You retain all rights to your own brand assets (logo, name) and Organisation Data.
• Nothing in these Terms transfers ownership of the Platform to you.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice where practical.

9. Termination

• You may cancel your subscription at any time, subject to the terms of your specific plan.
• We may suspend or terminate accounts that violate these Terms, with notice where reasonably practical, or without notice in cases of serious violation or non-payment.

10. Disclaimer of Warranties

The Platform is provided “as is” without warranties of any kind, express or implied, to the maximum extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, Kinglify’s total liability for any claim arising from your use of the Platform shall not exceed the total amount you paid us in the twelve (12) months preceding the claim. Kinglify shall not be liable for indirect, incidental, special, or consequential damages, including loss of data, loss of donations or revenue, or reputational harm, even if advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable Nigerian law, including liability for gross negligence, willful misconduct, or fraud.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance.
